1. Agreement to terms

These Terms & Conditions ("Terms") govern your access to and use of the Client Connect platform, website, and related services (the "Services"), operated by Client Path, LLC ("Client Connect," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity. If you do not agree to these Terms, you may not use the Services.

2. The service

Client Connect provides an API and related tools that allow businesses to connect social media channels — such as Instagram, Facebook, TikTok, Google, YouTube, and LinkedIn — to third-party tools and automations. The Services enable authentication, data routing, and workflow automation between connected accounts and the tools you configure. Features may evolve over time as we improve the platform.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials.

You are responsible for all activity that occurs under your account. Notify us promptly at hello@client.fo if you suspect any unauthorized use.

4. Acceptable use

You agree not to misuse the Services. Specifically, you will not:

  • Violate any law, regulation, or the terms of any connected third-party platform.
  • Send spam, unsolicited messages, or content that is unlawful, harmful, or infringing.
  • Attempt to gain unauthorized access to the Services or interfere with their operation.
  • Reverse engineer, resell, or exploit the Services except as expressly permitted.
  • Use the Services to process data you do not have the right to access.

5. API access & usage limits

We may set rate limits, quotas, and other technical restrictions to protect the stability and security of the Services. You agree to use the API in accordance with any documentation and limits we publish. We may throttle, suspend, or restrict access that we reasonably believe is excessive, abusive, or poses a risk to the platform or other users.

6. Third-party platforms & compliance

The Services rely on and integrate with third-party platforms — including Meta (Facebook, Instagram, and WhatsApp), Google, YouTube, TikTok, and LinkedIn — that maintain their own terms, developer policies, and rate limits. Your use of each connected platform through Client Connect is also subject to that platform's terms, and you are responsible for complying with them, including:

  • the Meta Platform Terms and Developer Policies for Facebook, Instagram, and WhatsApp;
  • the Google API Services User Data Policy and, for YouTube features, the YouTube Terms of Service;
  • the TikTok Developer Terms of Service; and
  • the LinkedIn API Terms of Use.

By connecting a YouTube account, you specifically agree to be bound by the YouTube Terms of Service. Client Connect's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy. You authorize Client Connect to act on your behalf solely to provide the features you configure. We are not responsible for changes, outages, deprecations, or restrictions imposed by third-party platforms that may affect the Services.

7. Customer data & privacy

You retain all rights to the data you submit or that we process on your behalf ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual property

The Services, including all software, documentation, and branding, are owned by Client Path, LLC and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. No rights are granted except as expressly stated here.

9. Fees & payment

Certain features of the Services may require payment of fees. Where fees apply, they will be described at the time of purchase or in a separate order. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due according to the billing terms presented to you. We may change our fees on prospective notice.

10. Service availability & changes

We strive to keep the Services available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time, and may perform maintenance that temporarily affects availability. We will make reasonable efforts to provide notice of material changes where practical.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be error-free, secure, or uninterrupted, or that any data routing will be timely or accurate.

12. Limitation of liability

To the maximum extent permitted by law, Client Path, LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid to us for the Services in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Client Path, LLC and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, or your violation of these Terms or any third-party rights.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ceases, and we may delete Customer Data in accordance with our retention practices. Provisions that by their nature should survive termination will survive.

15. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Client Path, LLC is organized, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be resolved exclusively in the courts located in that jurisdiction, and you consent to their personal jurisdiction, unless otherwise required by applicable law.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
